Terms and Conditions for Feeds India

1. Acceptance of Terms
By accessing or using the Feeds India mobile application and the website www.feedsindia.com (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you (as a "User," "Buyer," or "Supplier") and Feeds India. If you do not agree to these terms, you must immediately cease all use of our services.
2. Description of Service
Feeds India operates a digital B2B marketplace designed to connect Buyers (Companies) seeking agricultural commodities and related products with verified Suppliers (Sellers). Feeds India acts solely as a facilitator for:
- Trade discovery and lead generation.
- Order management and status tracking.
- Commission reconciliation and payment facilitation.
3. User Registration and Eligibility
- Authority: You represent that you are at least 18 years of age and have the legal authority to bind your business entity to these Terms.
- Accuracy: Users must provide valid and verifiable business documentation, including but not limited to GST Number, PAN Number, and Business Address.
- Vetting: We reserve the right to verify all user credentials. Account approval is at our sole discretion, and we may suspend or terminate accounts that provide false or misleading information.
4. Buyer (Company) Responsibilities
- RFQ Accuracy: Buyers are solely responsible for the details provided in a Request for Quote (RFQ), including quantity, quality specifications, and target pricing.
- Commercial Intent: Creating a request signifies a bona fide intent to purchase. Frequent cancellations of requests after seller acceptance may lead to a reduction in your "Vetting Score" or account suspension.
- Payment to Sellers: Buyers are responsible for making timely payments directly to Sellers based on the agreed-upon terms between the two parties, unless otherwise facilitated through the Platform.
5. Seller (Supplier) Responsibilities
- Order Acceptance: Sellers must verify their actual inventory and logistics capacity before accepting an order.
- Supply Limits: Sellers must strictly adhere to their stated "Maximum Supply Limit" to prevent marketplace distortion.
- Fulfillment: Sellers are responsible for ensuring goods reach the Buyer by the "Expected Delivery Date". Sellers must update the order status (Processing, Shipped, Delivered) in real-time within the App.
6. Financial Logic and Platform Fees
- Facilitator Commission: Suppliers agree to pay Feeds India a facilitator commission (currently 7%) on the total value of every accepted order.
- Wallet System: Suppliers must maintain a minimum balance in their virtual "Feeds India Wallet" to cover commissions. The Platform will automatically disable the "Accept Order" functionality if the wallet balance is insufficient.
- Payment Processing: All wallet top-ups and service fees are processed via Razorpay. Feeds India does not store your credit card or banking credentials.
7. "Boost Your Request" Feature
Buyers may opt to use the "Boost" feature to increase the visibility of their RFQs.
- Fee: A non-refundable fee (e.g., ₹500) applies per boost.
- No Guarantee: While boosting increases visibility, Feeds India does not guarantee that a boosted request will result in a successful transaction or seller acceptance.
8. Marketplace Conduct and Non-Circumvention
- Direct Dealing: Users shall not attempt to bypass the Platform to conduct offline transactions for leads discovered via Feeds India to avoid platform commissions. Such "disintermediation" is a material breach of these Terms.
- Vetting Score: User behavior is tracked. Substandard goods, payment defaults, or unprofessional communication will result in a penalty to your "Vetting Score," visible to other marketplace participants.
9. Limitation of Liability
Feeds India is a technology platform and not a party to the actual sales contract between Buyers and Sellers.
- Quality & Quantity: We are not responsible for the quality, safety, or legality of the items advertised.
- Logistics: We are not liable for delays or damages caused by third-party logistics providers.
- Indirect Damages: To the maximum extent permitted by law, Feeds India shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Platform.
10. Intellectual Property
All intellectual property rights in the Platform, including software code, UI/UX design, logos, and content, are owned by or licensed to Feeds India. You are granted a limited, non-exclusive license to use the Platform for business purposes only.
11. Termination
We reserve the right to terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms or behavior that harms the marketplace ecosystem.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in [Your City/State, e.g., Bangalore, Karnataka].
